Monthly Partnership — Subscription Terms of Service

This document outlines the terms governing the Monthly Partnership subscription service provided by Socialectric (Eric Phung, sole trader) to subscribing organisations. By subscribing to the Monthly Partnership, you agree to these terms.

1. Service Description

The Monthly Partnership provides unlimited Webflow design and development services on a recurring monthly basis. All work is performed by Eric Phung personally. These terms apply equally to new clients, returning clients, and organisations referred by third parties.

1.1 What's Included

  • Website design in Figma and build in Webflow: pages, components, layouts, interactions
  • CMS architecture, content structure, and content governance setup
  • Accessibility compliance and WCAG 2.1 AA monitoring
  • Performance optimisation targeting 90+ Lighthouse scores
  • Campaign pages, programme pages, donation page builds
  • Content updates and page modifications
  • Monthly async check-in

1.2 What's Not Included

  • Graphic design, branding, or logo creation
  • Photography, videography, or illustration
  • Copywriting or content creation (content is implemented, not written)
  • Third-party platform management: CRM, email marketing, donation platforms
  • Print design or non-web deliverables
  • Work on platforms other than Webflow
  • SEO services beyond technical optimisation built into Webflow and Lumos

2. How the Service Works

2.1 How Work Is Initiated

Eric leads the engagement. New clients entering through a Blueprint Audit will have a clear web plan produced from the audit findings before the subscription begins. Clients entering the subscription directly — including returning clients — will begin with a brief onboarding conversation so Eric can understand current priorities and site status.

From this, Eric produces a web plan: a sequenced schedule of work reflecting what needs doing and in what order. The client reviews and approves the plan before work begins. Eric creates and manages all tasks within the plan.

Clients may submit additional requests at any time via email or their preferred method. These are reviewed and sequenced by Eric alongside the existing plan. The client's role is to give feedback and approve deliverables.

2.2 Prioritisation

Eric manages the task queue and sets the working sequence based on the approved web plan. Work proceeds one active task at a time to ensure focus and quality. If the client's priorities shift, they notify Eric and the plan is reordered by agreement.

2.3 Turnaround

Small updates (text, images, link fixes) are handled same day or next working day. New page builds typically take 2–4 working days. Larger or more complex work is delivered progressively, with steady output throughout.

Working days are Monday to Friday, excluding UK public holidays.

2.4 Revisions

Every deliverable includes unlimited revisions until you are satisfied. If feedback substantially changes the original brief, Eric will flag this and agree a revised direction before proceeding.

2.5 Proactive Direction

Eric drives the work throughout the engagement. Rather than waiting for client requests, Eric reviews the site regularly and proposes what should be addressed next — whether that is an accessibility improvement, a campaign page, a governance document update, a performance issue, or upcoming programme changes. The client approves the direction; Eric executes.

This applies equally during active build phases and during ongoing maintenance periods. There is always meaningful work to be done on an institutional website — the subscription does not sit idle.

2.6 Communication

Progress updates are delivered asynchronously after each deliverable. Additional requests can be submitted via email or any method that works for the client. A monthly check-in summarises completed work and the recommended plan for the coming month. Scheduled calls can be arranged for complex discussions.

2.7 Client Response Obligation

The client agrees to respond to questions, review requests, and feedback rounds within 5 business days. If the client does not respond within 5 business days, one written reminder will be sent. If no response is received within a further 5 business days (10 total), work will be paused until the client responds. Subscription fees continue to accrue during any pause caused by client non-response.

3. Pricing and Payment

3.1 Subscription Fee

£2,500 per month, billed monthly via Stripe. This rate applies equally to all clients regardless of project type, organisation size, or prior relationship with Socialectric.

3.2 Billing Cycle

Your subscription renews automatically on the same date each month. Stripe charges your payment method on file and sends an automated receipt. The billing cycle begins from the date of sign-up and runs regardless of project pace. If delays occur due to client non-response, fees continue to accrue as set out in section 2.7.

3.3 Payment Method

Payment is collected via Stripe. You can update your payment method, view invoices, and manage your subscription through the Stripe Customer Portal at any time.

3.4 Late or Failed Payments

If a payment fails, Stripe will automatically retry. If payment cannot be collected after multiple attempts, the subscription will be paused and work will stop until payment is resolved. No work is delivered during a payment pause.

3.5 Disputes

Disputes must be notified within 30 days of the charge date at hello@socialectric.com. Disputes raised after 30 days may not be eligible for review.

4. Pausing and Cancellation

4.1 Pausing

You may pause your subscription at any time by notifying Eric via email (hello@socialectric.com). Pausing takes effect at the end of the current billing period. You will not be charged during the pause. Work in progress will be completed before the pause takes effect.

4.2 Cancellation

You may cancel at any time by notifying Eric via email or through the Stripe Customer Portal. Cancellation requests received within 24 hours of payment and before any work has commenced will receive a full refund. Once work has begun, no refunds are issued for the current billing period. Cancellation otherwise takes effect at the end of the current billing period and you retain access to the service until that date. No refunds are issued for partial months. There is no minimum commitment period.

4.3 What Happens to Your Work

All work completed during the subscription belongs to you. Your Webflow site, CMS structure, Figma design files, and all assets remain yours. A clean handover of documentation and credentials will be provided upon cancellation.

5. Intellectual Property

All work produced is your property upon payment. This includes Figma designs, Webflow page builds, custom code, CMS architecture, and documentation.

The site is built using the Lumos Framework, a third-party system developed and maintained independently by Timothy Ricks. Socialectric builds and configures Lumos on your behalf. The site will be implemented to the Lumos version current at the time of build. The Lumos Framework evolves over time as Webflow releases major updates, and future framework versions may introduce new features and improvements. These are not applied to your site automatically. Your existing implementation remains functional to the version it was built on if the engagement ends. Native Webflow features outside of the Lumos Framework remain available regardless of framework version. Continued Lumos updates and support are subject to the framework's own terms, which are separate from this agreement.

Eric retains the right to showcase work in his portfolio and case studies unless you request otherwise in writing.

6. Confidentiality

All information shared during the engagement is treated as confidential and will not be disclosed to third parties without written consent, except where required by law. This includes organisational documents, stakeholder information, internal communications, and sensitive materials shared for the purpose of completing work.

7. Content Responsibility and Indemnification

You are responsible for ensuring all content provided for implementation does not infringe intellectual property rights, violate applicable laws, or contain defamatory material. You agree to indemnify Socialectric from any claims arising from content you supply. Eric may refuse to implement content he reasonably believes to be infringing or unlawful, with prompt written notification.

8. Lumos Framework

All subscription work is built on the Lumos Framework (v2.2.0+). This ensures consistent accessibility, performance, and editorial independence across your site. If your current Webflow site is not built on Lumos, migration to the framework is the first project within your subscription. This is included in your subscription at no additional charge.

The Lumos Framework is a third-party system developed and maintained independently by Timothy Ricks. It evolves over time as Webflow releases major updates. Future framework versions may introduce new features and improvements that are not applied to your site automatically. Native Webflow features outside of the Lumos Framework remain available regardless of framework version.

9. Limitation of Liability

Socialectric's total liability shall not exceed the fees paid by the client in the most recent month at the time of any claim. Socialectric is not liable for any loss of revenue, data, or opportunity arising from work delivered. Eric will make reasonable efforts to ensure all work meets professional standards, WCAG 2.1 AA compliance, and 90+ Lighthouse performance targets.

10. Changes to Terms

Terms may be updated from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the service after changes take effect constitutes acceptance. Pricing changes will be communicated at least 30 days in advance and apply from the next billing cycle after the notice period.

11. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
