Monthly Partnership — Subscription Terms of Service

This document outlines the terms governing the Monthly Partnership subscription service provided by Socialectric (Eric Phung, sole trader) to subscribing organisations.
By subscribing to the Monthly Partnership, you agree to these terms.
1. Service Description
The Monthly Partnership provides unlimited Webflow design and development services on a recurring monthly basis. All work is performed by Eric Phung personally.
1.1 What's Included
- Webflow design and development (pages, components, layouts, interactions)
- CMS architecture, content structure, and content governance setup
- Accessibility compliance and WCAG monitoring
- Performance optimisation (targeting 90+ Lighthouse scores)
- Campaign pages, programme pages, donation page builds
- Content updates and page modifications
- Monthly async check-in via Zight
- Access to your dedicated client portal for request management
1.2 What's Not Included
- Graphic design, branding, or logo creation
- Photography, videography, or illustration
- Copywriting or content creation (I implement your content, not write it)
- Third-party platform management (CRM, email marketing, donation platforms)
- Print design or non-web deliverables
- Work on platforms other than Webflow
- SEO services beyond technical optimisation built into Webflow/Lumos
2. How the Service Works
2.1 Submitting Work
You describe what you need in plain language through your client portal. There is no special format required — simply explain what you'd like to achieve. Examples: "We need a new programmes section," "Can you update our team page with new headshots and bios," "We want a landing page for our annual fundraising campaign."
I review your brief, determine the best approach, and communicate my plan back to you via Zight before starting. For larger briefs, I may break the work into phases and deliver progressively — you'll see steady output, typically every 2–4 working days.
2.2 How Work is Prioritised
I work on one deliverable at a time to ensure focus and quality. You may submit as many briefs as you like — they queue in your portal and are worked on in the order we agree. If priorities shift (e.g., an urgent campaign), simply let me know and I'll reorder.
2.3 Turnaround
Most deliverables are completed within 2–4 working days. Small updates (text changes, image swaps, link fixes) are typically handled same-day or next working day. Larger work — such as new page builds or CMS restructuring — may be delivered in stages over multiple days.
Working days are Monday to Friday, excluding UK public holidays.
2.4 Revisions
Every deliverable includes unlimited revisions until you are satisfied. If feedback evolves into a substantially different direction from the original brief, I'll flag this and we'll discuss the best way forward.
2.5 Proactive Recommendations
You don't need to know what to request. Each month, I review your site and proactively recommend priorities — accessibility improvements, performance opportunities, content that needs attention, or upcoming campaign support. You approve the direction, and I execute.
2.6 Communication
All briefs are submitted through your client portal. Progress updates are delivered via Zight (async video/screen recording). I do not attend recurring meetings — communication is async by default. Scheduled calls can be arranged when needed for complex discussions.
You will receive a monthly check-in via Zight summarising completed work and recommended priorities for the coming month.
3. Pricing and Payment
3.1 Subscription Fee
The Monthly Partnership is £2,500 per month, billed monthly via Stripe.
3.2 Billing Cycle
Your subscription renews automatically on the same date each month. Stripe will charge your payment method on file and send you an automated receipt/invoice via email. You will receive email confirmation of each charge from Stripe.
3.3 Payment Method
Payment is collected via Stripe using the payment method you provide at checkout. You can update your payment method, view invoices, and manage your subscription through the Stripe Customer Portal at any time.
3.4 Late or Failed Payments
If a payment fails, Stripe will automatically retry the charge. If payment cannot be collected after multiple attempts, your subscription will be paused and active work will stop until payment is resolved. No work will be delivered during a payment pause.
3.5 Disputes
If you dispute any charge, you must notify me within 30 days of the charge date at hello@socialectric.com. Disputes raised after 30 days may not be eligible for review.
4. Pausing and Cancellation
4.1 Pausing Your Subscription
You may pause your subscription at any time by notifying me via email (hello@socialectric.com) or through your client portal. Pausing takes effect at the end of your current billing period. You will not be charged during the pause. Any work in progress will be completed before the pause takes effect.
To resume, simply notify me and your subscription will restart from the next billing cycle.
4.2 Cancelling Your Subscription
You may cancel your subscription at any time by notifying me via email or through the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. You retain access to the service until that date.
No refunds are issued for partial months.
There is no minimum commitment period. You may cancel after your first month.
4.3 What Happens to Your Work
All work completed during your subscription belongs to you. Your Webflow site, CMS structure, and all assets remain yours. I will ensure a clean handover of any documentation or credentials upon cancellation.
5. Intellectual Property
All work produced during the subscription is your property upon payment. This includes Webflow page designs, custom code, CMS architecture, and any documentation created.
The Lumos framework is licensed for use on your site as part of the subscription. If you cancel, your existing Lumos implementation remains functional — you simply won't receive further updates or support.
I retain the right to showcase work completed for you in my portfolio and case studies unless you request otherwise in writing.
6. Confidentiality
I will treat all information shared during the engagement as confidential and will not disclose it to third parties without your written consent, except where required by law.
This includes organisational documents, stakeholder information, internal communications, and any sensitive materials shared for the purpose of completing work.
7. Content Responsibility and Indemnification
You are responsible for ensuring all content you provide for implementation — including text, images, documents, logos, and media — does not infringe third-party intellectual property rights, violate applicable laws, or contain defamatory material.
You agree to indemnify and hold harmless Socialectric (Eric Phung) from any claims, damages, losses, or expenses (including reasonable legal fees) arising from content you supply for implementation on your website.
I may refuse to implement content that I reasonably believe to be infringing, unlawful, or harmful. I will notify you promptly if this occurs.
8. Lumos Framework Requirement
All subscription work is built on the Lumos framework (v2.2.0+). This ensures consistent accessibility, performance, and editorial safety across your site.
If your current Webflow site is not built on Lumos, migration to the framework is typically the first project within your subscription. This is included in your subscription — there is no additional charge.
9. Limitation of Liability
Socialectric's total liability under this agreement shall not exceed the fees paid in the 3 months preceding any claim.
Socialectric is not liable for any loss of revenue, data, or opportunity arising from the use of work delivered under this subscription.
I will make reasonable efforts to ensure all work meets professional standards, accessibility guidelines (WCAG 2.1 AA), and performance targets (90+ Lighthouse).
10. Changes to Terms
I may update these terms from time to time. You will be notified of material changes via email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance.
Pricing changes will be communicated at least 30 days in advance and will apply from your next billing cycle after the notice period.
11. Governing Law
This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
